1. About These Terms
These Website Terms of Use govern access to and use of the BYTECH corporate website at bytechng.com and its public webpages. By using the website, you agree to use it in accordance with these Terms and applicable law.
These Terms govern the public website only. They do not themselves create a customer contract for BYTECH services or products. Any project, product subscription, implementation, support arrangement or other commercial engagement is governed by the applicable proposal, quotation, order, licence, service agreement or other terms accepted by BYTECH and the customer.
2. About BYTECH
BYTECH DIGITAL INNOVATION LTD is a private company limited by shares incorporated in Nigeria under the Companies and Allied Matters Act 2020, with company registration number RC 7434748.
References to “BYTECH”, “we”, “us” or “our” mean BYTECH DIGITAL INNOVATION LTD unless the context requires otherwise.
3. Website Purpose
The website provides information about BYTECH, its technology capabilities, services, solutions, products, industries, work, insights and ways to contact the company.
Website content is provided for general information and commercial communication. Unless expressly stated in a binding written agreement, it is not legal, financial, regulatory or other specialist advice.
4. No Automatic Offer or Contract
Information on the website is not an automatic offer capable of acceptance merely by using the website or submitting an enquiry.
A contract with BYTECH is formed only when relevant commercial terms have been properly agreed and accepted by authorised parties. BYTECH may need to assess requirements, scope, feasibility, dependencies, pricing and timelines before agreeing to provide a product or service.
Submitting a Contact or Start a Project form does not oblige BYTECH to accept an engagement and does not guarantee a particular response time, price, delivery date, solution or outcome.
5. Accuracy and Changes
BYTECH aims to keep public website information clear and reasonably current, but technology, product development, availability and service scope may change.
BYTECH may update, correct, remove or reorganise website content without notice. Where website content conflicts with a binding customer agreement, the applicable customer agreement governs the relevant commercial relationship.
Users should confirm material requirements directly with BYTECH before making purchasing, implementation or operational decisions.
6. Product Information
RetailFlow and BYTECH Campus are BYTECH technology products. Public descriptions explain approved product themes and operating concepts.
Features, modules, deployment options, integrations and availability may depend on product version, customer requirements, technical environment and agreed scope. Architecture previews expressly labelled as not being product screenshots are illustrative and are not exact representations of a current production interface.
Pricing, licensing, implementation scope and support terms apply only when specifically provided or agreed through an authorised BYTECH commercial document or agreement.
7. Intellectual Property
Unless otherwise stated, the website and its original content, branding, text, graphics, diagrams, layouts and BYTECH-created materials are owned by or licensed to BYTECH and may be protected by copyright, trade mark and other intellectual-property laws.
BYTECH, RetailFlow, BYTECH Campus and associated names, logos or product identifiers must not be used in a way that falsely suggests endorsement, partnership, ownership or affiliation.
Nothing in these Terms transfers ownership of BYTECH intellectual property to a website visitor.
8. Permitted Use
You may access and use the website for legitimate informational, evaluation and business-contact purposes. Reasonable internal copies or references to public information may be made where lawful and not misleading.
Use beyond ordinary viewing, referencing or lawful limited copying may require BYTECH's prior permission.
9. Prohibited Use
You must not use the website for unlawful, fraudulent, abusive or deceptive purposes; impersonation; malicious or knowingly false submissions; unauthorised access; malware; denial-of-service activity; unauthorised security testing; harmful scraping; intellectual-property infringement; or interference with another person's lawful use.
10. Website Security
You must not attempt to bypass or defeat website security controls.
If you believe you have identified a genuine security vulnerability, do not exploit it, access data that is not yours, disrupt services or publicly disclose sensitive technical details before BYTECH has had a reasonable opportunity to assess the issue. A responsible-disclosure process may be published separately when approved.
11. Contact and Enquiry Information
When submitting information through the website, you are responsible for ensuring it is reasonably accurate and that you have authority to provide it.
Do not submit passwords, payment-card information, confidential credentials or unnecessary sensitive personal data through ordinary website forms.
BYTECH's handling of personal data submitted through the website is described in the Website Privacy Notice.
12. Third-Party Links and Services
The website may link to third-party websites, platforms or resources. A link does not necessarily mean BYTECH endorses or controls the third party.
BYTECH is not responsible for third-party content, availability, security or privacy practices. Users should review the relevant third-party terms and privacy information.
13. Website Availability
BYTECH may modify, suspend, restrict or discontinue all or part of the website where reasonably necessary, including for maintenance, security, technical changes or business reasons.
BYTECH does not promise that the public website will always be available, uninterrupted or error-free. This does not affect separate availability commitments expressly agreed in a customer contract.
14. Downloads and Technical Material
If BYTECH makes documents, guides, software or other material available for download, any specific licence, confidentiality or usage terms accompanying that material also apply.
Users are responsible for applying appropriate security controls before opening downloaded material and determining whether it is suitable for their intended purpose.
15. User-Submitted Content
Where the website allows submission of descriptions, requirements, files or other content, the person submitting it remains responsible for that content.
By submitting content for an enquiry or proposed engagement, you permit BYTECH to use it to review, respond to and manage the relevant enquiry, subject to applicable confidentiality, privacy and legal obligations.
Do not submit material that infringes another person's intellectual-property, confidentiality, privacy or other rights.
16. Confidentiality
The public website is not automatically a confidential channel. Particularly sensitive business, security, technical or proprietary information should not be submitted unless BYTECH has requested it through an appropriate secure method.
Any confidentiality obligations agreed separately in writing apply according to their terms.
17. Disclaimer
To the extent permitted by applicable law, the website is provided on an 'as available' basis for general information and business communication. BYTECH does not give an unlimited warranty that every item of website content is complete, current, suitable for every purpose or free from error.
Nothing in these Terms excludes or limits any warranty, right, duty or liability that cannot lawfully be excluded or limited.
18. Limitation of Liability
To the extent permitted by applicable law, BYTECH will not be responsible under these Website Terms for losses arising solely from reliance on general website information where specific confirmation or appropriate professional advice should reasonably have been obtained.
BYTECH does not seek through these Terms to exclude liability that cannot legally be excluded.
Liability arising from an actual customer engagement is governed by the applicable contract to the extent that contract addresses the matter.
20. Changes to These Terms
BYTECH may update these Terms to reflect changes in the website, products, services, legal requirements or business practices.
The current approved version should display an effective or last-updated date.
21. Governing Law and Disputes
These Website Terms are intended to be governed by the laws applicable in the Federal Republic of Nigeria.
Any dispute specifically arising from use of the public website should first be raised with BYTECH where appropriate. Final court-jurisdiction or dispute-resolution wording intended to be legally binding should be confirmed during legal review before public launch.
These Website Terms do not override different governing-law or dispute-resolution provisions contained in a binding customer agreement.
22. Severability and No Waiver
If a provision is found by a competent authority to be invalid or unenforceable, the remaining provisions should continue to apply to the extent permitted by law.
A failure or delay by BYTECH in enforcing a provision does not automatically waive the right to enforce that provision or another provision later.
